One Practice for Corporate Decisions

Most firms bill by discipline. Bangor works by mandate: one accountable partner for the legal, tax and financial dimensions of the same decision.

Governance, transactions and regulatory work for operating companies

Corporate housekeeping, board procedures, acquisitions, disposals and restructurings for businesses with a presence in one or more of our three jurisdictions.

Six Disciplines, One Accountable Partner

Every mandate is led by the Managing Partner and delivered with the legal instruments, tax analysis and financial models required to act on it.

Formation, shareholder agreements, commercial contracts and corporate housekeeping for Dutch B.V.s, Belgian companies and UK limited companies. Drafted to be enforceable where the counterparty sits, not only where you do.

Discuss a corporate matter

Chartered accountancy and tax technician expertise applied to holding structures, participation exemptions, cross-border VAT and substance requirements. We model the number before we recommend the structure.

Discuss a tax question

Buy-side and sell-side support from term sheet to completion: due diligence, share purchase agreement negotiation, warranty and indemnity cover, earn-outs and post-closing integration.

Discuss a transaction

Where to hold, where to operate, where to pay yourself. Structures that align Dutch, Belgian and UK rules rather than fighting them, with substance that stands up to a tax authority's questions.

Discuss a structure

Capital raises, debt renegotiation, cash-flow diagnostics and turnaround planning grounded in the numbers and delivered with the legal instruments needed to execute them.

Discuss a financing

Board procedures, UBO registers, anti-money-laundering onboarding, GDPR and directors' duties across three regimes, kept current so the board can focus on the business.

What clients say
Wisdom saw the tax consequence of our UK acquisition before our previous advisors had finished reading the term sheet. That is the difference between counsel and paperwork.

Managing Partner (CEO), Bangor Corporate Advisory & Strategic Partners

Wisdom Domie is Managing Partner and Chief Executive of Bangor Corporate Advisory & Strategic Partners. Trained in accountancy, taxation and law, and in business at Cambridge, Wisdom advises boards, founders and families on the decisions where legal, tax and financial consequences collide.

“A structure that is legally elegant but fiscally naive is not advice. Neither is a tax saving the board cannot govern. Our job is to hold both in view at once.”

The Structure Behind Every Mandate

No leverage model. No hand-offs between departments. The partner who scopes the matter is the partner who delivers it.

  • Offices, one in each jurisdiction we advise on3
  • Professional qualifications behind every recommendation4
  • Disciplines covered under a single engagement letter: legal, tax and financial3
  • Accountable partner on every matter, from first call to completion1

Three Cities, One Engagement

A single mandate can require a Dutch notary, a Belgian filing and an English-law agreement in the same fortnight. We are present where each of those happens.

  • AMS

    Amsterdam Head office

Seat of Bangor Holdings & Finance B.V. and the base for Dutch corporate, tax and notarial work, holding structures and group reorganisations.

  • BRU

    Brussels

Belgian company law, family holdings, EU regulatory matters and the cross-border questions that arise between Belgium and the Netherlands.

  • LDN

    London

English-law transactions, UK subsidiaries of European groups, post-Brexit structuring and financing work with UK lenders and investors.

Confidentiality and standards

Professional Standards and Client Protections

Bangor operates under written terms of engagement, conflict checks and the confidentiality obligations that attach to regulated professionals in each jurisdiction.

Request our terms of engagement

Every mandate begins with a written engagement letter that defines scope, jurisdictions, fee basis and the partner responsible. Nothing is billed outside it without your written agreement.

A conflict check is run against counterparties, shareholders and related parties before any confidential information is received. Where a conflict exists, we say so before you have disclosed anything.

Client identification and beneficial ownership verification are completed at onboarding in line with anti-money-laundering obligations, including the Dutch Wwft. The process is designed to be completed once and reused across your entities.

Client files are processed under the GDPR and stored with EU-based providers. Access is limited to the people working on your matter, and documents are shared through encrypted channels rather than open email where the matter warrants it.

Client names, matters and outcomes are never used in marketing without written consent. The engagement profiles on this page are described by type only, for that reason.

Bangor receives no commissions or referral fees from banks, insurers, notaries or other advisers it recommends. Our only economic interest in a recommendation is that it works for you.
